Marketing Agent Registration and Marketing Fee Agreement
By registering on the Agent Registration section of the www.ParadiseIsMine.com website, strategic marketing affiliates and parties directing buyers to the company and can receive a 5% (five percent) marketing fee of the net sales price for:
· directing or informing clients who purchase property from Paradise Is Mine LLC (PIM) and / or;
· placing a Paradise Is Mine banner advertisement on their website to introduce buyers who purchase property offered by the company on any of its projects.
Paradise Is Mine LLC (PIM) is a marketing agent and utilizes Realtors who have been specifically trained and licensed by the Bahamas Real Estate Association (BREA) to sell and market the benefits of the company’s projects. PIM will pay a full marketing fee of 5% to independent sales or marketing representatives simply for referring, directing or informing buyers to PIM. A marketing referral fee, regardless of how much assistance is provided, is payable to the referring representative in full and is not split with employees, strategic relationships or in house representatives of PIM. As part of this Agreement the 5% fee is the maximum marketing fee paid and is not to be combined with any other offer or compensation. You do not have to be a real estate professional to receive a marketing referral fee. PIM welcomes all parties interested in referring buyers, internet marketing professionals and website owners (all known as “Affiliates”) to participate in the PIM Marketing Referral Program.
The Agreement
1. This Agreement (“The Agreement”) serves as a binding contract between Paradise Is Mine, LLC (PIM) and the referring person or entity that registers buyers through this Agreement or online at www.ParadiseIsMine.com. This Agreement certifies that PIM has full legal authority to make the offer herein.
2. The Agreement is for the express purpose of promoting the sale the company’s projects (“Project” or “Projects”). This Agreement specifies the terms of compensation to any referring source for properties promoted or offered by PIM.
3. The term of this Agreement shall commence on the effective date of registration and will terminate on December 31, 2010 at 11:59 PM Eastern Standard Time. After this date, PIM has the right to extend the contract period by posting the new termination period on its website. The conditions and restrictions of the new version shall be provided by PIM. Agents / Affiliates who refer buyers prior to December 31, 2010 will receive a marketing fee for any sales consummated prior to December 31, 2011 at 11:59 PM Eastern Standard Time.
4. PIM retains the right to market the properties directly to buyers, through other real estate professionals or through other marketing channels on a non-exclusive basis. Agents / Affiliates participating in this program expressly understand that it is offered on a non-exclusive basis.
5. Agents / Affiliates must register to co-market the properties of PIM. PIM reserves the exclusive right to approve or deny any entity or person(s) who market for the company or place banners on their website(s). An Agent / Affiliate is deemed to be registered when;
(1) the registration form is printed, signed and faxed to PIM at 888-786-2298 or emailed to Registration@ParadiseIsMine.com .
(2) PIM will then send a confirmation email to the Agent / Affiliate accepting the registration.
6. Marketing referral fees will only be paid to Agents / Affiliates registered and accepted through this Agreement or through the website www.ParadiseIsMine.com.
7. Buyers must also be registered through the website or via email. If a potential buyer is registered via email by an Agent / Affiliate then the registration is deemed to have been accepted by PIM when a confirmation email is sent by PIM. PIM will pay a maximum marketing referral fee of 5% per transaction with fees payable to the Agent / Affiliate who refers the client. In case of multiple marketing referrals of the same purchaser then the buyer will determine who their referring Agent / Affiliate is.
8. Marketing referral fees will also be paid to referring sources that post a banner advertisement from PIM on their website(s) which clients utilize to locate the company. This fee is not in addition to a marketing referral fee for providing a client by registering them on the website. PIM will pay a maximum of a 5% marketing referral fee / banner advertising fee whether clients are referred directly by an Agent / Affiliate or contact the company via a banner advertisement. This fee is only paid when a purchase is consummated. As part of this Agreement the registrant affirms that he / she has the legal authority to represent the entity and the website where banners are to be placed.
9. PIM agrees to pay a marketing referral fee of 5% (five percent) of the net sale price. Net sale price is defined as the actual purchase price paid in full by the purchaser minus governmental taxes and closing costs for raw land purchased through PIM only. Marketing referral fees are payable to referring Agents / Affiliates within 72 hours of closing and will be disbursed by the attorney closing the transaction.
10. PIM will pay a fee of 5% for any buyers who are acquired through our banner advertising program. Through this program, affiliates may place banner advertisements on their website(s) and are compensated when a client who is introduced to PIM purchases property.
11. No marketing referral fees of any kind will be paid if the buyer fails to comply with the conditions set forth in the Purchase and Sale Agreement, or if the buyer fails to close the sale for any reason whatsoever. All income taxes on any marketing referral fees paid are the sole responsibility of the recipient.
12. Cancellation of Agreement. This contract may be cancelled by PIM with any particular referral source for good cause and without notice provided that no fees are owed to the referring Agent / Affiliate.
11. Real estate professionals, referral sources and related entities both domestically and internationally must adhere with the rules and regulations of their governing bodies and are solely responsible for any notification or compliance related issues.
12. This Agreement shall be governed by and construed in accordance with the laws of the State of Florida and in the Commonwealth of The Bahamas. Broward County, Florida shall be the sole and exclusive venue for any disputes arising out of or relating to this Agreement, and all parties agree to
waive the doctrine of forum non conveniens. Nassau, Bahamas shall be the sole and exclusive venue for any land or property disputes arising out of or relating to this Agreement.
13. Any Agent / Affiliate who registers through this Agreement or through www.ParadiseIsMine.com understands that such Agent / Affiliate is governed by the ethical and professional rules and regulations of his/her own jurisdiction, and warrants that such Agent’s / Affiliate’s participation in this Program does not violate any such ethical or professional rules or regulations. Agents / Affiliates participating in this program agree to indemnify and hold harmless PIM, www.ParadiseIsMine.com , and any employees or Strategic Partners thereof for any liability resulting from the Agent’s / Affiliate’s participation in this program.
14. Agents / Affiliates participating in this program warrant that they understand the rules and regulations of their profession in their jurisdiction, and that participation in this program is not a conflict of interest under such rules and regulations. Agents / Affiliates agree to indemnify PIM, www.ParadiseIsMine.com, and any Agents / Affiliates or employees thereof for any liability resulting from the Agent’s / Affiliate’s participation in this program, whether such liability is to clients or buyers referred by the Agents / Affiliates, or whether such liability is to PIM, www.ParadiseIsMine.com, or any Agents / Affiliates or employees thereof.
15. Parties hereto agree that this Agreement shall not create an employment relationship between Agents / Affiliates and PIM.
16. Agent / Affiliate acknowledges that this Agreement is a marketing Agreement, not a listing Agreement. Agent / Affiliate is not entitled to any fees or commission from PIM over and above the marketing referral fee contemplated herein.
17. Parties hereto acknowledge that the Agent / Affiliate which is a party of this Agreement is not in any way a legal representative of PIM, except in that Agent / Affiliate provides marketing referrals as a subcontractor to PIM. PIM is in no way responsible for the actions of Agents / Affiliates, and the term “Agent / Affiliate” to describe the party to this Agreement is used for convenience only, not to describe the relationship with PIM.
18. Agents / Affiliates have no authority, express or implied, to bind PIM to any Agreement of any kind.
19. If an Agent / Affiliate is responsible to a Broker for a portion of any marketing referral fee contemplated herein, then such payment to the Broker is the responsibility of Agent / Affiliate, and not of PIM.
20. Payments of the marketing referral fee contemplated herein may be made by check or wire transfer, as determined by PIM. The Company will notify the Agent / Affiliate within 72 hours of closing for disbursement.
21. All claims or actions for redress of a breach of this Agreement, except to the extent of any claim or action for equitable relief, shall be made and heard only through arbitration proceedings in Broward County, Florida, to be conducted under the auspices and according to the rules of the Commercial Division of the American Arbitration Association, with such claim to be heard by a single attorney arbitrator experienced with the subject matter of this type of Agreement. The arbitrator’s ruling shall be final except for a claim or action filed for equitable relief. The prevailing party shall be entitled to be reimbursed for all attorneys' fees, costs and expenses incurred for such arbitration.
22. This Agreement contains the complete terms and understanding of the parties and supersedes all other oral or written contracts, Agreements or understandings between the parties. All prior and contemporaneous Agreements, representations and understandings of the parties, whether oral or written, are hereby superseded by this Agreement and merged herein.
23. The invalidity or unenforceability of any specific provision of this Agreement shall not affect the other provisions hereof and this Agreement shall be construed in all respects as if such invalid or unenforceable provision was omitted.
24. Marketing referral fees or banner placement fees described within this agreement are payable only under the condition that a buyer completes the purchase of real estate and all conditions are met as described within this document.
